These Terms of Service ("Terms") govern your access to and use of the BizHub GY platform (the "Platform") operated by Pruvest Inc, doing business as BizHub GY ("BizHub", "we", "our", "us").
By registering for, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
1. Definitions
- "Platform" means the BizHub GY website at bizhubgy.com, our mobile interface, WhatsApp assistant, and all associated services including lead aggregation, document vault, invoicing, service request processing, and AI assistant features.
- "User" or "you" means any individual or business entity that registers for an account on the Platform.
- "Service Request" means a request submitted by a User through the Platform for BizHub to assist with a third-party service (e.g. NIS registration, VAT filing, company registration, tender submission).
- "Vault" means the encrypted document storage feature within the Platform.
- "Content" means any information, documents, files, data, text, images, or other materials you upload, submit, or store on the Platform.
2. Account registration and eligibility
- You must be at least 18 years of age to register.
- You must provide accurate, current, and complete information during registration and keep your account information up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You may register on behalf of a business entity if you have the authority to bind that entity to these Terms.
- We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.
3. Subscriptions and billing
3.1 Plans
The Platform offers free and paid subscription plans. Features, limits, and pricing are described on our Pricing page. We may modify plans and pricing from time to time with reasonable notice.
3.2 Payment
- Paid subscriptions are billed monthly in advance via Stripe, our payment processor.
- By subscribing, you authorise us to charge your chosen payment method on the agreed billing cycle.
- All fees are in United States Dollars (USD) and are non-refundable except as expressly stated in these Terms.
- Taxes (including VAT if applicable) are additional and will be itemised on your invoice.
3.3 Cancellation
You may cancel your paid subscription at any time from your Account settings. Upon cancellation, your plan will remain active until the end of the current billing period. No refunds are given for partial billing periods.
3.4 Non-payment
If payment fails, we will notify you and may downgrade your account to a free tier after a 7-day grace period. We may suspend access to paid features until payment is successfully processed.
4. Services and Service Requests
4.1 Platform as facilitator
BizHub GY provides a platform to help Users prepare, store, and submit documents and service requests to third parties (government agencies, regulatory bodies, etc.). BizHub acts as a facilitator and does not guarantee the outcome of any service request, including approval timelines, acceptance, or accuracy of third-party decisions.
4.2 Accuracy of information
You are solely responsible for the accuracy and completeness of all information and documents you submit through a Service Request. BizHub is not liable for delays, rejections, or penalties resulting from inaccurate or incomplete information provided by you.
4.3 Lead and tender information
The Platform aggregates procurement notices from public sources. We strive for accuracy but do not guarantee that all leads are current, complete, or error-free. Users should verify critical details (deadlines, contact information, requirements) directly with the issuing agency before acting on a lead.
5. User obligations and prohibited conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Upload or store any content that infringes third-party intellectual property rights, is defamatory, fraudulent, or obscene.
- Attempt to gain unauthorised access to any part of the Platform, other user accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Platform.
- Use the Platform to send unsolicited communications (spam).
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
- Use automated bots, scrapers, or scripts to access the Platform except as expressly permitted by our API terms.
6. Intellectual property
6.1 Our IP
The Platform, its design, logos, brand name "BizHub GY", and all software, algorithms, and content created by BizHub are the intellectual property of Pruvest Inc. You may not copy, modify, distribute, or create derivative works without our written consent.
6.2 Your IP
You retain all rights to the Content you upload to the Platform. By uploading Content, you grant us a limited license to store, process, and transmit that Content solely as necessary to provide the Platform services to you (including submitting documents to third parties as part of a Service Request).
7. Data and privacy
Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. Our Data Deletion Instructions describe how to request deletion of your account and associated data.
8. Limitation of liability
To the maximum extent permitted by applicable law:
- The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
- BizHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Platform.
- Our total liability to you for any claim arising from these Terms or the Platform shall not exceed the total fees you have paid to us in the 12 months preceding the claim.
- This limitation of liability applies regardless of the legal theory (contract, tort, negligence, or otherwise) on which the claim is based.
9. Indemnification
You agree to indemnify and hold harmless BizHub, Pruvest Inc, and their officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform in violation of these Terms;
- Your Content that infringes any third-party rights;
- Your violation of any applicable law or regulation.
10. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination:
- Your right to access the Platform ceases immediately;
- We may delete your account and Content in accordance with our Data Deletion policy;
- Sections 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) survive termination.
You may terminate your account at any time by following the Data Deletion Instructions.
11. Governing law and dispute resolution
These Terms are governed by the laws of the Co-operative Republic of Guyana. Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to mediation in Georgetown, Guyana, before resorting to litigation. The courts of Guyana shall have exclusive jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or in-app notification. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and cancel your subscription.
